TERMS & CONDITIONS for Creative Platform, Inc. and Creative Organization DAO LLC

These Terms & Conditions ("Terms") govern your access to and use of the Creative website, software applications, and related services (collectively, the "Creative platform"). By accessing or using the Creative platform, you agree to be bound by these Terms. Please read them carefully before using our services.

Entities and Roles​

The Creative ecosystem is operated by two affiliated entities:

  • Creative Platform, Inc. — a Delaware C-Corporation that builds, codes, and maintains the suite of Web3 applications, including Creative TV, Jukebox, Creative Bank, and Creative Pixels. Creative Platform, Inc. focuses on software creation and operation. It does not issue tokens.
  • Creative Organization DAO LLC — a Wyoming LLC that operates as a community-governed organization (DAO) and incubator. It manages the community ecosystem, oversees platform governance, and facilitates collaborations between creators, fans, and brands. It holds authority over token initiatives and manages the smart contracts associated with the community's economy.

In these Terms, "Creative," "we," "us," and "our" refer to Creative Platform, Inc. and Creative Organization DAO LLC, as applicable to the services you use. References to software products and interfaces mean Creative Platform, Inc.; references to community programs, governance, and token initiatives mean Creative Organization DAO LLC.

Acceptance of Terms​

By accessing or using the Creative platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

Description of Service​

Creative Platform, Inc. develops and operates software interfaces that allow creators, fans, and brands to collaborate and interact with Web3 tools and third-party protocols. The Company operates as a non-custodial software provider and does not hold, custody, or transmit user funds.

Creative Organization DAO LLC provides community governance, ecosystem programs, and related collaboration opportunities for members of the Creative community.

Tokens and Smart Contracts​

Token initiatives and the smart contracts associated with the community's economy are managed by Creative Organization DAO LLC. Creative Platform, Inc. does not issue tokens. Participation in any token-related activity is subject to applicable law and any additional terms published by Creative Organization DAO LLC.

SMS Terms and Conditions​

Creative Platform, Inc. and Creative Organization DAO LLC: Campaigns that cover multiple use cases such as Customer Care and Marketing to engage with our customers. Message frequency varies. Message and data rates may apply. Reply HELP for help. Reply STOP to cancel. Carriers are not liable for any delays or undelivered messages.

User Responsibilities​

a. Eligibility: To use our services, you must be at least 18 years old or the legal age of majority in your jurisdiction. b. Account Security: You are responsible for maintaining the confidentiality of your account credentials and ensuring that your account information is accurate and up to date. c. Compliance: You agree to comply with all applicable laws, regulations, and third-party rights while using the Creative platform. d. Prohibited Activities: You must not engage in any activity that may interfere with the proper functioning of the platform or infringe upon the rights of others. This includes, but is not limited to, unauthorized access, data scraping, spamming, or any illegal or fraudulent activity.

Intellectual Property​

a. Software and product intellectual property: The Creative software applications, including their content, logos, trademarks, and other intellectual property associated with products such as Creative TV, Jukebox, Creative Bank, and Creative Pixels, are owned by Creative Platform, Inc. or its licensors, except where otherwise noted. b. Community and governance materials: Community marks, governance materials, and related ecosystem intellectual property associated with Creative Organization DAO LLC remain owned by Creative Organization DAO LLC or its licensors, as applicable. c. Restrictions: You may not use, reproduce, or distribute our intellectual property without prior written permission from the applicable owner. d. User Contributions: By contributing content or materials to the platform, you grant Creative Platform, Inc. and Creative Organization DAO LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and distribute your contributions for the purpose of operating and promoting the Creative platform and community, as applicable.

Disclaimer of Warranties​

a. The Creative platform is provided on an "as is" and "as available" basis. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the platform. b. Creative Platform, Inc. and Creative Organization DAO LLC do not guarantee the availability, continuity, or security of the platform or community services, and we disclaim any liability for any harm or loss arising from the use of our services.

Limitation of Liability​

a. In no event shall Creative Platform, Inc., Creative Organization DAO LLC, or their affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform, even if advised of the possibility of such damages. b. To the maximum extent permitted by law, our total liability for any claims under these Terms, whether in contract, tort, or otherwise, shall be limited to the amount paid by you, if any, to access and use our services.

Modification and Termination​

a. We reserve the right to modify, suspend, or terminate the Creative platform or any part thereof at any time without prior notice. b. We may also update or revise these Terms from time to time. Any changes will be effective upon posting the updated Terms on our platform. Your continued use of the platform after the changes will constitute your acceptance of the revised Terms.

Governing Law and Jurisdiction​

These Terms shall be governed by and construed in accordance with the laws of Wyoming, USA, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Wyoming, USA. Nothing in this section limits Creative Platform, Inc.'s rights or obligations under Delaware law with respect to its corporate affairs.
